INDEPENDENT SCHOOL DISTRICT NO. 477
ORGANIZATIONAL MINUTES
JANUARY 6, 2015
The Organizational meeting of the School Board of District #477 was called to order by Chair Deb Ulm on the 6th day of January 2015, at 6:30 p.m. in the District Office Board Room. Roll Call: Members Present: Eric Minks, Jeremy Miller, Chuck Nagle, Deb Ulm, Howard Vaillancourt, and Chad Young. Members Absent: Craig Johnson. Others present: Superintendent Julia Espe, Director of Business Services Michelle Czech, Director Teaching and Learning Julie Williams, Director of Community Education Gwen Anderson.
ACT ON AGENDA Motion made by Howard Vaillancourt, and seconded by Chad Young, to approve the agenda as presented. Motion passed unanimously.
ELECT A SCHOOL BOARD CHAIR FOR 2014 Current Chair Deb Ulm called for nominations for the Office of School Board Chair for 2015. Howard Vaillancourt nominated Deb Ulm. No further nominations were made. By a unanimous vote, Deb Ulm was re-elected School Board Chair for 2015.
ELECT A VICE-CHAIR, CLERK, ACTING CLERK AND A TREASURER FOR 2014 Chair Ulm called for nominations for the office of School Board Vice Chair for 2015. Chad Young nominated Jeremy Miller, and Jeremy Miller nominated Chad Young. No further nominations were made. Upon roll call the following voted in favor of Jeremy Miller, Howard Vaillancourt, Chad Young, Eric Minks, and Deb Ulm. The following voted for Chad Young, Jeremy Miller. The following member did not vote, Chuck Nagle., Jeremy Miller was voted as the 2015 Vice Chair by a vote of 4:1.
Chair Ulm called for nominations for the office of School Board Clerk for 2015. Eric Minks nominated Eric Minks, no further nominations were made, and by a unanimous vote, Eric Minks is the 2015 School Board Clerk.
Chair Ulm called for nominations for the office of School Board Acting Clerk for 2015. Chad Young nominated Howard Vaillancourt, no further nominations were made, and by a unanimous vote, Howard Vaillancourt is the 2015 School Board Acting Clerk.
Chair Ulm called for nominations for the office of School Board Treasurer for 2015. Howard Vaillancourt nominated Chad Young. No further nominations were made, and by a unanimous vote, Chad Young is the 2015 School Board Treasurer.
CONSIDER BOARD COMPENSATION EFFECTIVE FOR JANUARY 2015 Current policy #299 School Board Member Compensation and Expenses is enclosed for your review. Discussion: Request to have board workshops listed as special meetings and compensated if held on a different day other than after a regular board meeting. Decision was made to return the policy to the policy committee for changes.
CONSIDER RESOLUTION DESIGNATING OFFICIAL DEPOSITORY FOR SCHOOL DISTRICT FUNDS AND INVESTMENTS FOR 2015. Motion by Howard Vaillancourt, and seconded by Jeremy Miller, to designate Bremer Bank; Peoples Bank of Commerce; Wells Fargo Bank; Minnesota School District Liquid Asset Fund; Citigroup; PMA Securities/MnTrust; Sherburne State Bank; The PFM Group; Edward Jones and Spire Financial as official depositories. Upon roll call the following voted in favor of, Eric Minks, Jeremy Miller, Howard Vaillancourt, Chad Young, and Deb Ulm. The following voted against, Chuck Nagle. Motion passed 5:1.
DESIGNATE THE OFFICIAL SCHOOL DISTRICT PUBLICATION FOR 2015 Motion by Eric Minks, and second by Jeremy Miller, to designate the official school district publication be the Princeton Union Eagle for 2015. Motion passed unanimously.
DESIGNATE BOND COUNSEL FOR 2015 Motion by Chad Young, and seconded by Howard Vaillancourt, to designate Knutson, Flynn & Deans as bond counsel for 2015. Motion carried unanimously.
DESIGNATE ATTORNEY FOR 2015 Motion was made by Eric Minks, and seconded by Jeremy Miller, to designate Ratwick, Roszak & Maloney, and Rupp, Anderson, Squires, & Waldspurger as the designated attorneys for 2015. Motion passed unanimously.
SET DATES/TIMES OF 2015 REGULAR SCHOOL BOARD MEETINGS
Current dates are the 1st and 3rd Tuesdays of each month.
Motion was made by Chuck Nagle, and seconded by Jeremy Miller, to move the School Board meetings for 2015 to the 2nd and 4th Tuesdays of each month, and by a unanimous vote of No, the motion did not pass, therefore the regular school board meetings for 2015 will be held on the 1st and 3rd Tuesdays of each month.
CONSIDER A RESOLUTION AUTHORIZING THE DIRECTOR OF BUSINESS SERVICES and/or DESIGNEE TO MAKE SHORT-TERM INVESTMENTS OF SCHOOL DISTRICT FUNDS
Motion by Jeremy Miller, and seconded by Howard Vaillancourt, to authorize the Director of Business Services and/or Designee to make short-term investments, deposits, transfers, and withdrawals from savings via wire transfers to other financial institutions, to make electronic fund transfers, and to sign stop-payments in accordance with existing Minnesota Statutes 123B.14, subdivision 1. Motion passed unanimously.
CONSIDER RESOLUTION AUTHORIZING THE SUPERINTENDENT AND DIRECTOR OF BUSINESS SERVICES TO LEASE, PURCHASE, AND CONTRACT FOR GOODS AND SERVICES Motion was made by Howard Vaillancourt, and seconded by Chad Young, to authorize the Superintendent and Director of Business Services to lease, purchase, and contract for goods and services within the general budget categories pursuant to Minnesota Statute123B.52, subdivision. Upon roll call the following voted in favor of, Eric Minks, Jeremy Miller, Howard Vaillancourt, Chad Young, and Deb Ulm. The following voted against, Chuck Nagle. Motion passed 5:1
CONSIDER RESOLUTION AUTHORIZING DIRECTOR OF BUSINESS SERVICES TO USE FACSIMILE SIGNATURES Motion by Jeremy Miller, and seconded by Eric Minks, to authorize the Director of Business Services to use facsimile signatures for all school district checks and orders and to authorize the Director of Business Services to use the 2015 facsimile signatures, if there are new members in the roles of: Chair, Clerk, and Treasurer, until a new signature plate is prepared. Motion carried unanimously.
ADJOURN The meeting was adjourned at 6:55 p.m.
